§ 1 Organization
the organization is listed in the Organization Register and is called
Institute for Regional and Migration Research (IRM) e .V.. Its location
is in Trier; its financial year is the calendar year.
§ 2 Organizational Purpose
- The purpose of the organization is research into
1. the causes, conditions and consequences of migratory processes (migration
research) and
2. economic and social developments in regional contexts (regional
research). As much as possible these two main research emphases shall be
derived from and connected to one another. Relating to this basic research
is carried out and research tasks are undertaken.
- The Institute sees itself as a platform for promoting the exchange and
discussion of research results between scientists. Furthermore the
transfer of the results from scientific research shall also be promoted in
the public interest. It also part of our activities that research results
are made accessible to the public by publications as well as by education
and further education events for scientists, various groups and interested
persons.
- The institute strives to fulfill its goals through cooperation with
institutions, research facilities and universities, with municipal and
private enterprises of the region as well as with facilities and
organizations, who are active in the areas of migration and regional
development.
§ 3 Non-profit Status
The organization pursues exclusive and immediate charitable purposes
according to the section of the tax law entitled, “Non-profit Purposes”. The
resources of the organization may only be employed for the purposes outlined
by the rules. No person may be favored by payments which are contrary to the
purpose of the corporation or excessively high.
§ 4 Acquisition of Membership
A member can be either an individual or a legal entity. The Executive
Board decides about this in writing at the time of the application for
membership. The applicant can lodge a complaint regarding a rejection of
membership at the next Member Meeting.
§ 5 Termination of Membership
- The membership ends either through death, especially with the loss of
mental capacity, the cancellation of the membership, or the departure or
the exclusion of a member. With legal entities, membership ends through
the commencement of bankruptcy or comparison proceedings.
- Termination can be carried out only at the end of a calendar year; the
Institute must be informed about it in writing 3 months prior to the end
of the year.
- Members can be excluded from the organization if their behavior
violates the rules or reflects upon the interests of the organization in a
negative manner. The exclusion is made by a unanimous decision of the
Executive Board or by the Member Meeting with a 2/3rd majority.
Accompanying the decision process opportunity is given to the person
affected to make remarks. The termination decision has to be announced to
the person affected by the decision by means of a registered letter from
the Executive Board. With termination by the Executive Board, the member
concerned can, within a month, lodge a complaint at the next Member
Meeting, which then reconsiders the decision.
- A termination of membership is permitted by decision of the Executive
Board if the member is remiss with the payment of the membership fee
despite two written reminders by the Executive Board. The termination is
permitted only after expiry of three months following the dispatch of the
second reminder which must contain a reference to the proposed termination.
§ 6 Organizational Structure
The organizational structure is:
- the Member Meeting
- the Executive Board
- the Scientific Advisory Board
§ 7 Member Meeting
- The Member Meeting is the topmost decisional body of the organization,
choosing and replacing the Executive Board.
- The Member Meeting takes place in the first half year of every year.
Furthermore it has to be called if it is demanded by organizational
necessity or if organization members, representing at least 1/3rd of the
total membership, make the request of the Executive Board in writing and
detail their reasons.
- Member Meetings have to be called by the Executive Board at least two
weeks before the date of the meeting in writing. Convening in the
aforementioned way is also permitted by a written E-mail invitation. The
agenda has to be announced simultaneously with the call to convene. The
convening is regarded as established by the dispatch of the invitation
letter. Applications for additions to the agenda have to be submitted to
the Executive Board in writing at least one week before the beginning of
the meeting.
- As far as the rules do not otherwise limit, any Member Meeting can be
called by a quorum.
- In the Member Meeting every member has a vote. Another member can be
designated to cast a member's vote by proxy in writing. A member may,
however, cast only one other vote in addition to their own. The
authorization has to be separately assigned for each Member Meeting.
Furthermore oral proxies are not permissible.
- The majority of the vote cast determines decisions and elections.
Abstentions are regarded as incorrect voices. A decision which concerns
the change of the rules or the dissolving of the organization requires a
3/4th majority of which at least 1/3rd of the votes of all organization
members present is required. If the Member Meeting is not a quorum, by the
request of a simple majority of the votes cast, a new Member Meeting can
be called once more within four weeks, which is independent of the number
of representative votes then present. This must be noted in the invitation
to the new Member Meeting.
- The Member Meeting isn't public. Guests, however, can be allowed.
§ 8 Executive Board
- The Executive Board of the organization consists of three members
having equal voting rights, at least two of whom are required to represent
the organization publically and contracturally.
- The Executive Board is chosen by vote for two year terms. It remains
as constituted until a new Executive Board is properly chosen and assumes
office.
- Only organization members who are individual persons are eligible for
office.
- The Executive Board must be represented by at least two Executive
Board members for all legal matters.
- The Executive Board is authorized to engage members of the
organization or third parties for the conduct of regular business and, as
necessary, to pay an adequate compensation for such.
- As a rule, the board meetings are open to members. Guests can be
allowed
- If the contents of certain rules obstruct entry onto the Organization
Register or the recognition of tax-exempt status by the responsible Tax
Office, the Executive Board is authorized to carry out the required
modifications without membership consultation.
§ 9 Scientific Advisory Board
- The work of the Institute shall be accompanied by a Scientific
Advisory Board. The Advisory Board has a consulting function in all
interests which concern the execution of research plans and expert
activity.
- Unanimous decision is required from the Executive Board for admission
of new members to the Advisory Board.
- The composition of the Advisory Board and the new tasks of members of
the Advisory Board are to be reported and accounted for at the Member
Meeting.
- A new call for memberships on the Advisory Board can be applied for by
the Member Meeting, if a 3/4th majority of the votes present request such.
§ 10 Dissolving/Cessation of the Non-Profit Status
At the dissolution of the organization or at the cessation of its
non-profit status the resources of the organization devolve to the
Multicultural Center Trier, Gervasiusstr. 2, 54290 Trier, which has the
immediate and exclusive use of these for charitable purposes.
§ 11 Revision
The Member Meeting selects two auditors for control of the audit and the
register. Executive Board members may not serve as auditors. The results of
the audit are reported to the Member Meeting.
